Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Memoriq ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Your Content

• You are responsible for the notes, media, and decks you create or import.
• Do not add content that you do not have the right to use.
• Memoriq stores your study data locally on your device unless you choose to sync, export, or share it.
• You retain full ownership of your content. We do not claim any rights to your decks, notes, or media.

3. Subscriptions and Purchases

Some features (cloud sync, AI generation, ad-free experience) require a paid subscription ("Memoriq Pro").

• Billing: Subscriptions are billed through your platform app store (Apple App Store or Google Play Store) and are subject to that store's terms.
• Payment: Payment is charged to your Apple ID or Google account at confirmation of purchase.
• Auto-renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
• Cancellation: You can cancel your subscription at any time through your app store account settings. Access to paid features continues until the end of the current billing period.
• Refunds: We do not offer refunds directly. Refund requests should be directed to the app store where you purchased the subscription.
• Price changes: We may change subscription prices. You will be notified in advance and can cancel before the new price takes effect.
• Free trials: If offered, any unused portion of a free trial period is forfeited upon purchasing a subscription.

• Memoriq Pro Yearly: $59.99/year

4. AI-Generated Content

• AI-generated flashcards are provided as a convenience and may contain errors or inaccuracies.
• You are responsible for reviewing and verifying AI-generated content before using it for study.
• AI-generated content should not be relied upon as a substitute for professional, medical, legal, or academic advice.

5. Sharing and Library

• When you publish a deck to the Library, it becomes visible to all Memoriq users.
• You must only publish content you have the right to share publicly.
• We may remove content from the Library that violates these Terms or applicable laws.
• Direct deck shares are visible only to the recipients you choose.

6. Backups and Data Loss

• You are responsible for keeping backups of your data (use Settings → Create Backup).
• Memoriq is provided "as is" without warranties. We cannot guarantee that data will never be lost or corrupted.

7. Acceptable Use

You agree not to:

• Use Memoriq to store or share illegal, harmful, or infringing content.
• Attempt to reverse-engineer, tamper with, or abuse the App or its services.
• Use automated means to access or scrape the App or its APIs.
• Impersonate other users or misrepresent your identity.

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Intellectual Property

The Memoriq app, its design, code, and branding are the intellectual property of May App Studio. You may not copy, modify, distribute, or create derivative works of the App except as expressly permitted.

9. Disclaimer of Warranties

Memoriq is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.

Memoriq is not medical, legal, or professional advice. Content created with or generated by the App should not be used as a substitute for qualified professional guidance.

10. Limitation of Liability

To the maximum extent permitted by applicable law, May App Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the App.

Our total aggregate liability for any claims arising from or related to the App shall not exceed the amount you paid for the App or subscription in the 12 months prior to the claim, or $50, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless May App Studio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising out of or related to your use of the App, your content, or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in California.

13. Apple-Specific Terms

If you downloaded Memoriq from the Apple App Store, the following additional terms apply:

• These Terms are between you and May App Studio, not Apple Inc. May App Studio, not Apple, is solely responsible for the App and its content.
• Apple has no obligation to provide maintenance or support for the App.
• In the event of any failure of the App to conform to applicable warranties, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims relating to the App, including product liability claims, consumer protection claims, or intellectual property claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.

14. Termination

We may suspend or terminate your access to the App if you violate these Terms. Upon termination, your right to use the App ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitation of liability) will survive.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of Memoriq after changes constitutes acceptance of the updated Terms. For material changes, we will notify you through the App or by email.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
